Services-Related Disclosures
Private Filing Assistance Service
EfilePermit provides private filing assistance.
Our service fee compensates us for services such as reviewing information you provide, preparing application information, completing or assisting with government forms, identifying applicable filing procedures, submitting or assisting with submission of applications, communicating regarding a filing, and providing customer support.
The government agency does not receive EfilePermit’s service fee unless specifically disclosed.
Government fees, registration fees, deposits, bonds, taxes, penalties, or other governmental charges may apply separately.
You May File Directly With the Government
You are not required to use EfilePermit.
You may prepare and submit your application directly to the applicable state or local government agency.
Some government agencies do not charge a fee for Seller’s Permit registration, while others may impose registration fees, deposits, bonding requirements, or other charges.
EfilePermit charges for the optional private filing assistance services we provide, not for the government’s decision to issue a permit.
Government Fees
Government filing and registration fees vary by jurisdiction.
Unless we expressly state otherwise during checkout:
EfilePermit’s service fee does not include government fees.
If we collect a government fee from you for transmission to a Government Agency, that amount will be identified separately or otherwise disclosed as a government fee.
Government fees are determined by the applicable agency and may change without notice.
Seller’s Permit and Sales Tax Requirements
Whether a business is legally required to obtain a Seller’s Permit, register for sales or use tax, collect sales tax, file tax returns, maintain records, or comply with other tax obligations depends upon the business’s specific activities and applicable law.
EfilePermit does not provide individualized tax or legal advice concerning whether you are legally required to register.
Any questionnaire, eligibility tool, state guide, informational page, recommendation, or automated result provided through the Site is provided for general informational and filing-assistance purposes only.
You remain responsible for determining your legal and tax obligations.
Jurisdiction and Agency Determination
We may use information you provide to identify the government agency or registration system that appears applicable to your filing.
Government jurisdiction can depend upon numerous factors, including business location, business activities, organizational structure, sales activities, physical presence, economic activity, or information maintained by government agencies.
Although we may review available information to assist with identifying the appropriate filing authority, we do not guarantee that an initial jurisdiction determination will be accepted by the Government Agency.
The applicable Government Agency retains final authority concerning jurisdiction and registration requirements.
Accuracy of Information
EfilePermit collects information from you through methods that may include online forms, questionnaires, emails, telephone communications, uploaded documents, and other communications.
You are responsible for ensuring that all information you provide is complete, current, and accurate.
Our review of your information is intended to assist with preparing and processing the filing. It does not relieve you of responsibility for the factual accuracy of the information submitted.
All applications and filings are prepared based upon information and instructions provided or authorized by you.
You have final responsibility for the accuracy of the information contained in your filing.
Additional Information
Government Agencies may request additional information, documentation, identification, verification, signatures, financial information, security information, deposits, bonds, or other materials before processing or approving an application.
If additional information is required, we may contact you.
You agree to respond accurately and within a reasonable period of time.
Failure to provide requested information may delay or prevent completion of the Services.
Electronic Verification and Government Accounts
Certain Government Agencies may require applicants to complete identity verification, email verification, telephone verification, account creation, authentication codes, electronic signatures, security questions, or other verification procedures.
You may be required to complete these steps personally.
You agree to reasonably cooperate with such requirements when necessary to complete your application.
Physical Documents, Signatures, and Notarization

EfilePermit is not responsible for delays, loss, damage, or nondelivery caused by the United States Postal Service, private delivery companies, government mailrooms, or other third parties.

Our ability to perform the Services depends upon your timely cooperation and the processing practices of the applicable Government Agency.
Estimated processing times appearing on the Site are estimates only.
We do not guarantee approval or issuance by any particular date.
Government processing times can change without notice.
Delays may result from agency workload, system outages, incomplete information, identity verification, government requests, holidays, postal delays, or other circumstances beyond our control.
You are responsible for providing requested information promptly.
Authorization to Prepare and Submit Filings
By purchasing or using our Services, you authorize EfilePermit, to the extent permitted by applicable law and the applicable Government Agency, to:
- use information you provide as reasonably necessary to perform the Services;
- prepare forms and application information using information supplied or authorized by you;
- submit or assist with submission of filings on your behalf;
- communicate with applicable Government Agencies concerning filings we assist with;
- transmit documents and information necessary to complete your filing; and
- use an electronic signature or other authorization provided by you when permitted by the applicable Government Agency and authorized by you.
Some Government Agencies may require additional authorization from you before we can communicate or act on your behalf.
No Guarantee of Approval
EfilePermit does not issue Seller’s Permits or government registrations.
Government Agencies review applications and make the final decision concerning approval, rejection, issuance, processing, registration status, filing requirements, or requests for additional information.
We cannot guarantee that:
- an application will be approved;
- a Government Agency will accept a filing;
- a permit will be issued;
- a permit will be issued within a particular time;
- additional documentation will not be required; or
- a Government Agency will not impose additional requirements.
You agree that EfilePermit is not responsible for a Government Agency’s decision to approve, reject, delay, suspend, revoke, or otherwise act upon an application or registration.
No Legal, Tax, Accounting, or Financial Advice
EfilePermit is a document preparation and filing assistance service.
We are not a law firm, accounting firm, or tax advisory firm.
The Services do not constitute legal, tax, accounting, or financial advice.
No attorney-client, accountant-client, tax advisor-client, or financial advisor-client relationship is created through your use of the Site or Services.
Unless separately and expressly agreed in writing, EfilePermit does not:
- determine whether you are legally required to register for sales tax;
- determine where your business has tax nexus;
- determine whether particular products or services are taxable;
- calculate your sales tax liability;
- prepare or file periodic sales tax returns;
- provide tax planning;
- provide legal advice;
- provide accounting advice;
- represent you in a tax dispute;
- determine whether your business activities comply with applicable law; or
- advise you concerning the legal consequences of a particular business structure or transaction.
You should consult a qualified professional when individualized legal, tax, accounting, or financial advice is required.
Ongoing Compliance After Registration
Obtaining a Seller’s Permit or sales tax registration may create continuing legal and tax obligations.
These may include:
- displaying a permit;
- collecting sales tax;
- filing periodic tax returns;
- filing zero-dollar returns;
- maintaining books and records;
- renewing registrations;
- reporting business changes;
- maintaining security deposits or bonds; or
- canceling accounts when business operations end.
Unless you separately purchase a service expressly covering such obligations, you are responsible for all ongoing compliance after your registration is completed.
Government Agencies may impose penalties, interest, assessments, or other consequences for failing to satisfy ongoing requirements.
Authority
By requesting the Services, you represent and warrant that:
- you have authority to request the filing;
- you are authorized to act for the business or taxpayer identified in the application;
- all necessary owners, officers, members, managers, partners, or representatives have authorized the filing where required;
- information you provide is truthful and accurate; and
- your requested filing does not violate applicable law.
We may request proof of identity or authority before performing Services.
Compliance With Laws
COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS REMAINS YOUR RESPONSIBILITY.
Our Services do not guarantee that your business possesses every license, registration, permit, authorization, or approval necessary to operate legally.
Obtaining a Seller’s Permit does not necessarily satisfy other federal, state, county, or municipal licensing requirements.
No representation or warranty is made concerning the legal consequences resulting from your use of our Services.
Right to Refuse or Cancel Service
We may refuse, suspend, or cancel a Service when reasonably necessary, including when:
- required information is not provided;
- we cannot verify your identity or authority;
- information appears inaccurate or inconsistent;
- we believe a filing may violate law;
- a Government Agency does not permit the requested filing method;
- the filing is outside the scope of our Services; or
- we determine that we cannot reasonably complete the requested Service.
If we cancel a Service before performing material work, any refund will be handled in accordance with the Refund Policy below.
Payment Terms
Pricing
Certain Services are offered for a service fee.
The applicable EfilePermit service fee will be displayed before you complete your purchase.
The service fee charged by EfilePermit is compensation for our private filing assistance and is separate from government fees unless expressly stated otherwise.
We may change prices or introduce additional Services at any time.
Price changes will not affect an order already purchased unless you request additional or modified Services.
Government Fees and Other Charges
Government Agencies may impose filing fees, registration fees, deposits, bonding requirements, taxes, or other charges.
Where applicable, these charges are separate from the EfilePermit service fee unless expressly included at checkout.
You are responsible for required government charges.
Payment Information
All payment information you provide must be accurate, complete, and current.
You authorize us and our payment processors to charge the payment method provided for the amounts disclosed during checkout.
You are responsible for applicable taxes associated with the purchase of our Services.
Refund Policy

We reserve up to 48 hours to process a cancellation or refund request.
If you request cancellation before we have begun material work on your filing, we may provide a full refund of our service fee.
If document preparation, research, review, filing preparation, or other Services have already been performed when we receive your cancellation request, we reserve the right to deduct or retain the reasonable value of Services already performed, to the extent permitted by applicable law.
Once an application has been submitted to a Government Agency, the EfilePermit service fee may be non-refundable except where otherwise required by law or expressly stated by us.
Government filing fees that have already been submitted or paid to a Government Agency are generally non-refundable by EfilePermit. Any refund of a government fee is subject to the applicable Government Agency’s policies.
Nothing in this policy limits rights that cannot legally be waived.
Chargebacks
If you believe there is an error concerning a payment, we encourage you to contact us first at [EFILEPERMIT CUSTOMER SERVICE EMAIL] so that we can attempt to resolve the matter.
If you initiate a chargeback or payment dispute concerning amounts properly owed for Services provided, we reserve the right to dispute the chargeback and provide relevant transaction records, order records, communications, filing records, and other documentation to the payment processor, card issuer, or financial institution.
We may suspend further Services associated with a disputed payment while the dispute is pending.
Nothing in this section limits any consumer rights provided by applicable law.
Consent to Electronic Communications
You consent to EfilePermit communicating with you regarding your order and Services by email, SMS/text message, telephone, or other electronic means.
Communications may include:
- requests for additional information;
- filing updates;
- government requests;
- status notifications;
- reminders;
- customer-service messages; and
- other communications relating to Services you requested.
Standard carrier messaging and data rates may apply.
Where applicable, you may opt out of non-essential SMS communications according to instructions contained in the message.
Transactional communications necessary to complete an active Service may still be sent where permitted by law.
Rights and Licenses
License to Use the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site and Services for lawful purposes.
Restrictions
You may not:
- sell, rent, license, sublicense, distribute, or commercially exploit the Site or Services;

No rights are transferred to you except those expressly granted under these Terms.
User Content

You represent that you have the right to provide the User Content to us.
Acceptable Use
You agree not to:

- impersonate another individual or business;
- request a filing without proper authority;

- upload malicious software or harmful material;
- interfere with the operation of the Site;
- attempt unauthorized access to our systems;
- use automated systems to burden our infrastructure;

- use the Services to facilitate fraud, deception, or illegal conduct.
Feedback

Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Gov Electronic Filing, EfilePermit, and their officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, costs, and reasonable attorneys’ fees arising from:
- your misuse of the Services;
- information or User Content you provide;
- your lack of authority to request a filing;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
We reserve the right to assume control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate.
Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW.
WE DISCLAIM WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOV ELECTRONIC FILING, EFILEPERMIT, AND THEIR OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SITE, SERVICES, OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
The foregoing limitations do not apply where prohibited by applicable law.
Term and Termination
These Terms remain effective while you access or use the Site or Services.
We may suspend or terminate your access if you violate these Terms or misuse the Services.
Termination does not affect provisions that by their nature are intended to survive, including provisions concerning payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
Legal Disputes

You and Gov Electronic Filing agree that disputes arising from or relating to these Terms, the Site, or the Services will be resolved as provided below.
Choice of Law
These Terms will be governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except to the extent federal law applies.
Claim Limitation
To the extent permitted by applicable law, any cause of action arising from or relating to the Services must be commenced within one year after the cause of action accrues.
Where applicable law does not permit such a limitation, the legally permitted limitations period will apply.
Agreement to Arbitrate
You and Gov Electronic Filing agree that disputes or claims arising from or relating to these Terms, the Site, the Services, or products or services purchased through EfilePermit will be resolved through final and binding individual arbitration, rather than in court, except as otherwise provided below.
You may bring an eligible claim in small claims court in Sheridan County, Wyoming, provided that the claim remains exclusively on an individual, non-class, non-representative basis.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
The arbitration will be administered by JAMS pursuant to its applicable rules and procedures, as modified by these Terms, before one neutral arbitrator with appropriate commercial dispute experience.
YOU AND GOV ELECTRONIC FILING AGREE THAT CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Unless otherwise required by law:
- the arbitrator may not consolidate claims of multiple persons;
- the arbitrator may award relief only to the individual claimant;
- arbitration proceedings will remain confidential to the extent permitted by law;
- the arbitrator will respect legally recognized privileges;
- the arbitrator may award remedies available under applicable law; and
- attorneys’ fees and costs will be awarded only where authorized by applicable law.
If the class-action or representative-action waiver is determined to be unenforceable in a manner that cannot be severed, the affected dispute will proceed in a court of competent jurisdiction rather than arbitration.
If a dispute proceeds in court rather than arbitration, it will be brought in an appropriate state or federal court located in Sheridan County, Wyoming, except where applicable law requires otherwise.
General
Changes to These Terms
We may revise these Terms from time to time.
The updated Terms will be posted on the Site with an updated “Last Updated” date.
Where required by law, we may provide additional notice of material changes.
Your continued use of the Site or Services after revised Terms become effective constitutes acceptance of the revised Terms.
Severability

No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.
Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly presented in connection with a particular Service, constitute the agreement between you and Gov Electronic Filing concerning the Site and Services.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the Services.
